GENERAL TERMS AND CONDITIONS (GTC)  

1. Identification of the Provider

A.S.H Production is a sole proprietorship operating under the micro-enterprise regime, providing services in the fields of live performance and audiovisual production.

Services offered include:

• Sound reinforcement

• Lighting setup

• Audiovisual broadcasting

• Recording and production of audiovisual content

Target clients: Professionals, associations, local authorities, and individuals.

VAT status: A.S.H Production is not subject to VAT in accordance with Article 293B of the French Tax Code (CGI).
 

2. Purpose and Scope

These General Terms and Conditions of Sale (GTCS) govern the provision of services by A.S.H Production and apply to all orders placed by clients.

They prevail over any other conditions, including the client’s purchasing terms, unless otherwise agreed in writing and signed by both parties.

Acceptance of an order implies full adherence to these GTCS.

3. Definitions

• Client: Any natural or legal person placing an order.

• Provider: A.S.H Production, represented by Thomas NOMMAY.

• Service: The services provided, including equipment rental where applicable.

• Order: Validation of a quote by the client.

• Collaborator: Independent third-party provider (micro-entrepreneur) involved in the service.

4. Order and Contract Formation

Service requests can be made orally, in writing, or electronically.

The order becomes final and binding upon receipt by the Provider of:

• The dated and signed quote

• The deposit payment specified in the quote

Any modifications must be agreed in writing.

5. Pricing and Quotes

• Rates are those stated in the accepted quote (exclusive of VAT).

• Prices include social charges (21.20%) applicable to the micro-enterprise regime.

• Quotes are valid for a specified period (stated on the document).

• Additional fees may apply for late requests, extra equipment, or personnel.

6. Collaborators and Associated Services

A.S.H Production may work with independent collaborators (micro-entrepreneurs) for specific tasks.

• Each collaborator issues their own invoice.

• A.S.H Production is not liable for their tax or legal obligations.

7. Payment Terms

• Deposit required upon ordering.

• Balance due upon service completion.

Accepted payment methods: ✔ Bank transfer ✔ Bank check ✔ Cash (within legal limits)

8. Late Payment Penalties

Late payments incur automatic penalties (legal interest rate + €40 recovery fee, per Article L441-10 of the French Commercial Code).

No deductions may be made without prior agreement.

9. Service Execution

• Conditions (date, location, access, technical needs) are agreed upon in advance.

• The client must:

  • Ensure site access

  • Provide safety and technical requirements

  • Notify of any specific constraints

Delays or hindrances by the client may result in additional fees.

10. Liabilities and Insurance

• The Provider complies with industry standards and legal requirements.

• The client is responsible for:

  • Site and public safety

  • Administrative authorizations

  • Equipment damage caused by third parties

Liability is limited to the service cost, except in cases of gross negligence or willful misconduct.

11. Cancellation, Postponement & Force Majeure

Cancellation by the client:

• <14 days before service: Deposit retained.

• Late cancellation/day of service: Full payment required.

Force Majeure:

• No liability for unforeseeable events (weather, administrative bans, disasters).

• Service may be postponed or canceled without compensation.

12. Right of Withdrawal

The 14-day withdrawal period does not apply to:

• Event-based services

• Professional clients

• Services already initiated
   

13. Intellectual Property

• All delivered works (videos, images, sounds, etc.) remain the Provider’s property unless otherwise agreed in writing.

• The client has a limited usage right (defined in the quote/contract).

• Unauthorized modifications or reuse are prohibited.

• The Provider may use works for promotional purposes unless the client objects in writing.
   

14. Personal Data

• Data is used solely for commercial relations.

• The client has the right to access, rectify, or delete their data (GDPR compliance).
   

15. Amendments to GTCS

These terms may be updated at any time. The version in force at the time of ordering applies.
 

16. Applicable Law & Dispute Resolution

• Governing law: French law.

• Dispute resolution: Amicable settlement before legal action.
